These Terms apply to your access to and use of:

• The OMNIFITTX website (www.omnifitt.in)
• OMNIFITTX Dashboard
• OMNIFITTX Admin Portal
• OMNIFITTX Member Application
• OMNIFITTX APIs
• OMNIFITTX integrations
• Marketplace services (where applicable)
• Future products, applications and digital services introduced by OMNIFITTX

Certain products or services may be subject to additional agreements or subscription terms, which shall supplement these Terms.

03 Definitions

For the purposes of these Terms:

Account

means the registered account created to access the Platform.

Customer

means any business, organisation or entity subscribing to or using OMNIFITTX.

Member

means an individual whose information is managed through the Platform by a Customer.

Customer Data

means all information uploaded, stored or processed by a Customer through the Platform.

Platform

means all websites, software, mobile applications, APIs and services operated by OMNIFITTX.

Services

means all software, products and digital services provided by OMNIFITTX.

04 Eligibility

By using the Platform, you represent and warrant that:

• You are at least 18 years of age.
• You have the legal capacity to enter into binding agreements.
• If acting on behalf of an organisation, you have the authority to bind that organisation.
• Your use of the Platform complies with all applicable laws and regulations.

05 Your Account

You are responsible for:

• maintaining the confidentiality of your login credentials;
• ensuring that all information provided is accurate and up to date;
• restricting unauthorised access to your account;
• all activities conducted through your account.

You must promptly notify OMNIFITTX if you believe your account has been compromised.

06 User Responsibility Disclaimer

Users are solely responsible for:

• ensuring the accuracy of information uploaded to the Platform;
• obtaining all necessary permissions and consents from their members;
• complying with applicable data protection, employment, tax and consumer laws;
• maintaining the confidentiality of user credentials issued to their staff;
• ensuring that only authorised personnel access the Platform.

Users are responsible for maintaining the confidentiality of their account credentials and ensuring that any information provided is accurate and lawful.

OMNIFITTX shall not be liable for consequences arising from inaccurate, incomplete, or unauthorized information provided by users.

07 Customer Data

Customers retain ownership of all Customer Data stored within the Platform. OMNIFITTX does not claim ownership of Customer Data.

By using the Platform, Customers grant OMNIFITTX a limited, non-exclusive licence to process Customer Data solely for the purpose of:

• providing the Services;
• maintaining platform security;
• delivering customer support;
• improving product performance;
• complying with applicable legal obligations.

OMNIFITTX may use anonymised and aggregated data that does not identify any Customer or individual for analytics, benchmarking, product improvement and research purposes.

08 Intellectual Property

All rights, title and interest in the Platform remain the exclusive property of OMNIFITTX PRIVATE LIMITED or its licensors.

This includes, without limitation:

• software;
• source code;
• APIs;
• algorithms;
• dashboards;
• reports;
• user interface and user experience designs;
• product architecture;
• graphics;
• logos;
• trademarks;
• branding;
• illustrations;
• videos;
• documentation;
• content;
• AI models and proprietary technologies.

Except as expressly permitted, nothing in these Terms grants you ownership of any intellectual property rights.

09 Acceptable Use

You agree not to:

• interfere with the operation or security of the Platform;
• reverse engineer, decompile or disassemble any part of the Platform;
• copy, reproduce or imitate the Platform or its functionality;
• scrape or extract data without authorisation;
• upload malicious software or harmful code;
• attempt unauthorised access to any system or Customer account;
• use the Platform for unlawful or fraudulent purposes;
• infringe the rights of OMNIFITTX or any third party.

OMNIFITTX reserves the right to suspend or terminate access for violations of these Terms.

10 Third-Party Services

The Platform may integrate with third-party services, including payment gateways, messaging platforms, calendar providers and other software.

Your use of such services is subject to the terms and privacy policies of those third parties. OMNIFITTX is not responsible for the availability, functionality or security of third-party services.

11 Artificial Intelligence Features

OMNIFITTX may provide AI-powered features, including recommendations, analytics, reporting, automation and operational insights.

AI-generated outputs are intended solely to assist users and should not be relied upon as professional, financial, legal or medical advice.

OMNIFITTX does not guarantee the accuracy or completeness of AI-generated outputs.

12 Beta Features

Certain features may be designated as:

• Beta
• Preview
• Early Access
• Experimental

These features are provided for evaluation purposes and may be modified, suspended or discontinued at any time without prior notice.

13 Feedback

Any suggestions, ideas, feature requests or feedback provided to OMNIFITTX may be used by OMNIFITTX without restriction or compensation.

By submitting feedback, you grant OMNIFITTX a perpetual, irrevocable, worldwide, royalty-free licence to use, modify and incorporate such feedback into its products and services.

14 Platform Availability

While OMNIFITTX aims to provide reliable and uninterrupted access, the Platform may occasionally be unavailable due to maintenance, updates, security measures, third-party service interruptions or events beyond our reasonable control.

We do not guarantee uninterrupted or error-free operation.

15 Product Changes

OMNIFITTX continuously develops and improves its products. We reserve the right to:

• introduce new features;
• modify existing functionality;
• discontinue features;
• update pricing;
• enhance security;
• improve user experience.

Unless expressly agreed in writing, no future product feature or enhancement constitutes a contractual commitment.

16 Data Export and Retention

Upon termination of a subscription, Customers may request an export of their Customer Data within the period specified in their applicable subscription agreement.

Following such a period, OMNIFITTX may permanently delete Customer Data unless retention is required by applicable law.

Backup copies may continue to exist for a limited period as part of routine disaster recovery processes.

17 "As-Is" Disclaimer

The Platform and all services are provided on an "as is" and "as available" basis. While we take reasonable measures to protect your information, we cannot guarantee absolute security of data transmitted or stored electronically.

18 Limitation of Liability

To the fullest extent permitted by law, OMNIFITTX shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the use of the Platform, including but not limited to loss of data, business interruption, or unauthorized access.

19 Indemnification

You agree to indemnify and hold harmless OMNIFITTX PRIVATE LIMITED, its directors, officers, employees, affiliates and licensors from and against any claims, liabilities, losses, damages, costs and expenses arising from:

• your use of the Platform;
• your breach of these Terms;
• your violation of applicable law;
• your infringement of the rights of any third party.

20 Suspension and Termination

OMNIFITTX may suspend or terminate access to the Platform where:

• these Terms are violated;
• fraudulent or unlawful activity is suspected;
• required by law;
• necessary to protect the security, integrity or operation of the Platform.

Termination does not affect any accrued rights or obligations.

21 Force Majeure

OMNIFITTX shall not be liable for any delay or failure to perform its obligations resulting from events beyond its reasonable control, including natural disasters, internet outages, cyber-attacks, governmental actions, labour disputes, power failures or failures of third-party infrastructure.

22 Changes to these Terms

We may revise these Terms from time to time. Any updated version will be published on this page together with the revised Effective Date.

Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.

23 Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India.

Before initiating legal proceedings, the parties agree to make reasonable efforts to resolve any dispute through good-faith discussions.

If a dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the competent courts located in Noida, Uttar Pradesh, India.

24 Notices

OMNIFITTX may provide notices to users through:

• the Platform;
• email;
• notifications within user accounts; or
• publication on the OMNIFITTX website.

You are responsible for ensuring that your contact information remains accurate and current.

25 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

26 Waiver

Failure by OMNIFITTX to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights available to OmniFitt.

27 Assignment

OMNIFITTX may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, corporate restructuring or sale of assets.

You may not assign your rights or obligations under these Terms without the prior written consent of OMNIFITTX.

28 Entire Agreement

These Terms, together with the Privacy Policy and any applicable subscription or service-specific agreements, constitute the entire agreement between you and OMNIFITTX regarding your use of the Platform and supersede all prior understandings relating to the same subject matter.
